Try rawrite.exe to copy to a floppy.  Also make sure you are in DOS.  not 
just a dos box, or having quit windows to dos.  use ados 6.2 floppy to 
boot to dos.  format the floppy, and ensure there are NO bad sectors.  
then try fdimage again.  the file size doesn't really matter, cause your 
not "copying" the file onto the disk.  you are writing an image of the 
boot.flp file to the disk.  rawrite worked for me when I had the same 
problem.
