I'm no expert here, but first you should make sure that you have TCP/IP bound to your NIC, (from the dial-up problem you seem to have a modem and a NIC installed) in the Network Properties their should be a "TCP/IP -> NE2000" and a "TCP/IP -> dial-up adapter" or something similar.
