Check your permissions:

gdi,ttyp1,~,13>ls -l /usr/bin/passwd /etc/*.db
-rw-r--r--  1 root  wheel  32768 Apr 16  1997 /etc/aliases.db
-rw-r--r--  1 root  wheel  40960 Nov  6 23:14 /etc/pwd.db
-rw-------  1 root  wheel  40960 Nov  6 23:14 /etc/spwd.db
-r-sr-xr-x  2 root  bin    32768 Oct 20 09:36 /usr/bin/passwd*
