For the record, I'm seeing this exact problem with a Soyo P4S Dragon motherboard with 4.7-stable. I downloaded the mini-CD image, burned it to a CD, booted off it just fine and found this "MII without any PHY!" message on the console. This motherboard is a socket-478 and claims to be based on a SiS 645 chipset with a SiS900 Ethernet. mii_phy_probe is returning zero for all 32 phys.
