Subject is the key:  There is a "matcd.h" that will not allow you to 
compile the matcd support properly.  I think if you delete it that should 
fix things, but you should instead rm -r /usr/src/sys and reinstall.

There are other side effects when upgrading from 2.0.5 to 2.1 in the 
kernel source tree, starting fresh is a good idea IMHO.
