I dunno, I had a 2940uw and a 53c825 (neither were on-board though) in
the same machine without any problems.  Just plugged them both in.
This is with the Asus p/i-tp4eg (or something like that).

Seems like your motherboard wasn't designed very well.  You may want
to post more information (motherboard brand, etc.) to -hardware.
