The actual chip itself is layed inside of the copper. The benefits of lapping can be marginal on flat p2/3 chips, but with the nasty case they put k-6's in, it makes them a good candidate. Temperature is the biggest limiting factor for overclocking, if your surfaces are uneven, there will be gaps, which prevents heat transfer. And I almost forgot, you sand the bottom of the heatsink flat too. I'll see if I can't find the link for you tomorrow.
