booting kernel on console appear these lines:

xl0: Ethernet address: 00:60:97:9f:d4:cb
xl0: selecting half duplex
ifmedia_set: no match for 0x24/0xffffffff
panic: ifmedia_set
Automatic reboot in 15 seconds...
than system went to reboot.

Install 3Com 3c900-COMBO Ethernet card.
Add "device xl0" to your kernel config and recompile kernel.
Reboot from this kernel.
