I upgraded from 2.2.8 to 3.1 using the install CD. It was one of the smoothest upgrades I have ever had the pleasure of working with. You wil have to manually upgrade the /etc directory. When you install, it will backup your /etc for you, and will install a new one in its place. It is up to you to merge your local changes into the new /etc tree (e.g. rc.conf, sendmail.cf, etc.) A port that comes in very handy for this is in /usr/ports/sysutils/mergemaster, be sure and install this port before starting the upgrade! You do NOT have to recompile all fo your ports (except, perhaps, the ones that use low level SCSI, such as SANE, cdrecord, etc.) However, if you still want to keep your old 2.2.x binaries (i.e. /usr/local) around, be sure and install the "compat*" packages. Other than that, I can't really say much else.
